Abandonment of Fictitious Business Name

This is a certificate of abandonment of a fictitious name. This is a simple legal notice that is ready to be run in a local newspaper's legal notices section. It simply states that you are abandoning the fictitious name under which you engaged in business. Two versions are included here, one for individuals and one for corporations.

Affidavit

This is a standard affidavit form that can be used for most legal statements. The form leaves an open space for filling in the particulars of the sworn statement. If the statement is long, it may take multiple pages to contain all of the information.

Affidavit of No Lien

This is a sworn and notarized statement of no lien. It is normally used as part of a sale and transfer of real estate or some other type of property. The purpose of this form is to assure the buyer that what they are buying is free and clear of any encumbrances. In order to get a stronger statement of no lien than this, you will normally have to buy title insurance. To this form, you may wish to add a section that reads as follows:
"The seller agrees to hold the buyer free of any possible lien or encumbrance that may have been placed on this property, even if they are unknown to the seller as of this date. If the seller fails in this duty, the buyer will be entitled to whatever compensation and penalties that the law may prescribe, including attorney's fees."

This section guarantees either protection, or whatever types of compensation that the law will allow, should there be any type of lien or encumbrance filed.

Assignment of Deed of Trust

This is a standard assignment of deed of trust form that is used for the sale of real estate. It records the legal title of the property and the deed and transfers the rights that are stated in the agreement.

Assignment of Lease

This is a formal subletting agreement under which one party agrees to assume the lease obligations of another party. Notice that the agreement also requires the consent of the landlord and must be witnessed by third parties.

Assignment of Lien

This is a form for the transfer of lien rights from one person to another in exchange for a cash payment. When using this type of form, make sure that you use care in filling in the many details.

Assignment of Title

This is a transfer of title from one person, corporation, or partnership to another. Note that this type of assignment of title or right can be used for intellectual property as well as for real property or goods. For example, if you have developed a computer program and wish to assign the rights for it to another party, this form would be better to use than the other types included on this disk.

Authorization to Negotiate Letter

This is a legal authorization for another person to negotiate on your behalf regarding the named transaction or project. This is a limited type of power of attorney in which the authorized party operates as your agent.

Bid for the Purchase of Real Property

This is a bid for a piece of real estate. It specifies the property to be purchased, the terms, and the method of transfer (warranty deed). Notice that it refers to the seller as the "executor for the estate of the deceased." This is part of this form only because it is very common. You can obviously change it as may become necessary. The bid form also states that you are delivering with it a certified check in the amount of ten percent of the bid amount as a deposit on the property. This is a standard legal form, and should be accepted almost anywhere.

Bill of Sale

This is a general bill of sale specifying a one time payment and the unconditional transfer of goods. It is suitable for the transfer of any type of goods.

This is a bill of sale with warranty of title.

Certificate of Transaction of Business under Fictitious Name

This is a fictitious name certification by corporation, partnership, or individual. This is a simple legal notice that is ready to be run in a local newspaper's legal notices section. It is a notice of doing business under a fictitious name for a corporation. Since corporations, partnerships, and individuals must all file fictitious name notices differently, three versions are included here.

Contractor Financial Statement

This is a basic financial statement, but one that is to be signed by the responsible parties. Be careful of these statements as they can be used against you if you report inaccurate numbers.

Letter of Credit

This is a cover letter to a purchase order. It reiterates that everything included in the order must be delivered exactly as specified unless the changes are agreed to in writing. To get an extra measure of legal protection, you should include a cover letter like this one with every purchase order that you issue.

Mechanic's Lien

This is a basic Mechanic's Lien. This document can be used in many places, but you should verify with your lawyer prior to using. Mechanic's Lien laws are not uniform.

Notice of Right of Rescission

This is notice of rescission, giving a party to a transaction a specified period of time to back out of it. This type of notice is required by the Truth in Lending Act. The seller is required to keep a copy of this notice, so that he or she can prove that the other party actually received the required legal notifications. If the form were not used in the required situations, the seller would be at risk of lawsuits.

Promissory Note

This is a basic promissory note with interest by which payment is made from one party to another with the second party agreeing to pay the first party back under the terms designated in the note. Notice that the note is payable upon demand after a certain date.

Promissory Note – Installment

This is a more complex promissory note. The terms of this note specify repayment to be made in monthly installments over a predetermined period of time.

Purchase Agreement

This is a more complex type of sales contract. It specifies far more details about the transfers of goods and money than the previous sales form. In addition, it goes into greater detail on the goods being free of encumbrances and liens, making this a better contract for any property that can be liened. Note the wording of #9: It gives the buyer a time limit for inspection of the goods and filing any damage claim. After that time period, the goods belong to the buyer and may not be returned, regardless of damage. If this paragraph is inappropriate for a certain usage, you can simply remove it and renumber the following paragraph.

Quitclaim Deed

The quitclaim deed is the best method for very quickly transferring real estate from one person to another. Under this agreement, the seller quits all of his or her claims to the property (whether they be income or liability), and transfers them to the buyer. Note carefully that under this agreement it is strictly up to the buyer to ascertain the extent of the assets and liabilities. If the property has liens against it, they are completely transferred to the buyer by the quitclaim deed. Using a quitclaim deed is fast, cheap, and easy. It does, however, subject the buyer to potentially unknown liabilities, and as such, can be financially dangerous.

Request for Title Letter

This is a request for a preliminary title report on a certain piece of property. In most cases, this type of request comes from a builder/developer who wishes to develop the property. The letter mentions that the appropriate fee is enclosed.
